Overview:

Our Legal Department is hiring an Associate Counsel with commercial transactional experience. If you thrive in a fast-paced, high-performing, and collaborative environment, this might be a great fit!


This is a high visibility position with the opportunity to partner not only in the Legal Department, but across the business and other corporate departments in the Company. This position is on-site at our corporate campus in Midtown Cleveland and will report to Applied’s Assistant General Counsel.


What you’ll do:

  • Provide practical legal advice on commercial matters to internal business partners globally, identify and mitigate potential legal risks, and apply sound legal judgment with business acumen
  • Draft and negotiate complex commercial agreements, including key domestic and international customer agreements that contain various pricing structures and rebate components, agreements with strategic product vendors, and agreements with product and service providers for various corporate departments, including IT (SaaS, software licenses, MSAs, SOWs)
  • Manage commercial litigation and contract disputes globally in coordination with the Risk Management Department and local outside counsel
  • Participate in merger and acquisition due diligence and integration efforts for all domestic and international acquisitions
  • Train and counsel personnel at all levels globally on commercial legal issues
  • Lead various legal projects as required, including process improvement efforts to mitigate legal and commercial risk


Qualifications:

  • J.D. degree and licensed to practice law in Ohio
  • 3-5 +-years of commercial legal experience, preferably with some in-house experience at a global company
  • Attention to detail, sense of urgency, customer-focused
  • Ability to identify legal and commercial risk and to partner with internal clients to offer creative solutions
  • Multi-tasking, prioritizing, and working both independently and as a team member in a fast paced, fluid culture
  • Experience with government contracts (with working knowledge of FARs and DFARS) and regulatory compliance matters a plus, including FCPA, export compliance, FDA, ESG, Conflict Minerals, OSHA, and DOT
