As part of Sponsored Program Services Contracting, the Lead Contract Specialist will lead a team of individuals that primarily negotiate non-financial agreements, such as non-disclosure agreements, material transfer agreements, data use and transfer agreements, memorandum of understandings, and teaming agreements. This position will work closely with SPS contract analysts and other University offices such as the Office of Legal Counsel, Regulatory, Export Controls, and the Office of Technology Commercialization to improve the processing of non-disclosure agreements at the University. This position will serve as the subject matter expert for negotiations of non-disclosure agreements (NDA) and will handle a high volume of agreements in a fast-paced environment. This position will form and lead cross-departmental task groups to develop and maintain efficient processing of NDAs and non-financial agreements at the University. This individual will ensure smooth and responsive service to external partners who provide funding and other types of support and to faculty members in support of the University's research mission.

This position has the ability to be 100% remote.

Duties and Responsibilities

  • Lead an SPS Contracting team focused on the administration and negotiation of non-financial agreements. Form task groups to support the development, negotiation, and maintenance of significant and essential non-financial contracts with current and prospective University partners. Review pending non-financial negotiations and take the lead on assigning to individuals on the non-financial team. Receive agreements and requests from a variety of sources, including external partners, the Office of Industry Partnerships, the Office of Research, Purdue Research Foundation, faculty members, and Sponsored Program Services staff. Serve as a primary point of contact for external partners needing contractual support of non-financial agreements, especially non-disclosure agreements.
  • Draft, edit, negotiate and red-line any complexity of non-financial agreements, including NDAs, MTAs, DUAs, teaming agreements, MOUs, and any other type of non-financial agreement needed by a partner or faculty member. Follow up on red-lines and negotiations with internal and external clients to ensure timelines and objectives are met. Use discretion to reach a compromise and resolve issues within parameters and seek reviews when necessary. Draft custom language when needed. Ensure appropriate compliance reviews (export control, private business use, regulatory, etc.) occur with minimal disruption to the process.
  • Provide periodic reports on activities to the Director of Contracting and other Contracts Managers. Lead non-financial team meetings and attend Contracting team meetings, SPS team meetings, and professional development/training activities. Take the lead in monitoring contract procedures and methods and participate in the development of contracting guidelines and templates. Contribute process improvement recommendations to ensure efficiency. Manage non-disclosure agreement workflows and processes to efficiently handle a large volume of confidentiality agreements. Initiates recommendations for updates to company standard templates and assists in drafting new templates as needed by the business.
  • Maintain a broad knowledge of Federal and State regulations and University policies, and apply this knowledge to contract negotiations. Coordinate and/or assist with other activities as requested by the Director of Contracting and Contracts Managers. Negotiate any other type of sponsored program agreement as necessary.

Qualifications

Required:

  • Bachelor’s degree
  • Six (6) years of experience in contract negotiation
  • Two (2) years of experience administering and negotiating non-disclosure agreements and experience leading a team focused on contractual administration
  • An equivalent amount of education and experience may be considered
  • Excellent verbal and written communication, planning, problem-solving, organizational, and customer service skills
  • Ability to analyze, interpret and implement University policies and procedures
  • Ability to influence and build working relationships among a diverse workforce at all levels
  • Learning orientation to changing technology impacting business processes
  • Ability to maintain a broad knowledge of Federal and State laws and regulations and University policies and business practices
  • Ability to use creativity and strong initiative to identify which contract instrument applies to a variety of situations
  • Ability to provide exceptional customer service to University and external customers
  • Ability to maintain a positive attitude in a fast-paced environment
  • Ability to evaluate and distribute incoming requests quickly and appropriately

Preferred:

  • Juris Doctor from an ABA-accredited law school
  • Basic experience in negotiating contractual terms
  • Experience with university research administration or related experience
  • Experience administering and negotiating material transfer agreements
  • Experience administering and negotiating data use and transfer agreements
